PROGRAM AGREEMENT

This agreement contains the complete terms and conditions that apply to your participation in the Amadeus Press Affiliate Program. Approved participants in the program agree to establish links from the Affiliate Web site to the Amadeus Press online book catalog. In exchange, Amadeus Press pays each Affiliate either a cash or credit commission for each product purchased through the Affiliate's Web site.


1. Enrollment
To begin enrollment in the Amadeus Press Affiliate Program, you will complete and submit our online application. We will evaluate your application and your Web site and notify you of our acceptance or rejection. Amadeus Press may reject your application at its sole discretion for any reason, including but not limited to a determination that your Web site or its contents are not appropriate to or compatible with the Program. This determination may apply but is not limited to sites that are operated outside of the United States and sites that encourage or promote: sexually explicit materials; violence; illegal activities, including the violation of copyright, trademark, and all other intellectual property rights; or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

At the time of enrollment, you will elect to receive your referral commission as either cash or credit. Once selected, payment terms can be changed on a quarterly basis only, provided that the minimum payment balance of $35.00 has been reached and that at least one payment or credit has been issued under the previous terms.

2. Participation in the Program
Upon notification of your acceptance into the program, you will be provided with a unique Affiliate ID and Password. You will use this Affiliate ID and Password to access the Affiliate Resource Center on the Amadeus Press Web site. You will use the tools provided in the Resource Center to create links to our Web site. The links may connect to individual titles, the subject index, or the book store. These links will identify you as an Amadeus Press Affiliate and will contain special information to ensure accurate tracking of your sales. You may display these links on your Web site wherever and as often as you choose. You agree to display on your Web site only those links provided by Amadeus Press. Links not provided or approved by Amadeus Press will not result in payable commissions. Amadeus Press cannot be held liable for lost commissions resulting from the failure to use the specially formatted links provided to the Affiliate.

3. Amadeus Press Responsibilities
Amadeus Press will process all orders placed by customers who follow the Amadeus Press Affiliate links from the Affiliate Web site. We will be responsible for order entry, payment processing, shipping, cancellations, returns, and customer service. We reserve the right to reject orders that do not comply with any requirements we may establish, including but not limited to compatability with our distribution agreements. We will provide the Affiliate with the tools and information necessary to establish Affiliate links to our online book store, and will provide the Affiliate with periodic sales reports via our Web site.

4. Affiliate Responsibilities
You agree to place Amadeus Press Affiliate links on your Web site, and to ensure that all such links are accurately coded as provided or as specified by Amadeus Press. You will be solely responsible for the design, production, and maintenance of your Web site, including all related content, software, services, and hardware.

5. Qualifying Sales
We will pay a commission on any sale resulting from an Affiliate link to the Amadeus Press Web site, provided that the customer places an order through the Amadeus Press online order forms and provides payment during the same user session subsequent to referral from the Affiliate site. Amadeus Press cannot pay commissions on sales which may occur in the course of other user sessions, during which the customer enters our Web site directly, even if that customer was originally referred through your Affiliate link.

6. Payment of Referral Commissions
Amadeus Press will issue payments or credits on a quarterly basis. We will send you a check or issue a credit to your account approximately 20 days following the end of each calendar quarter, provided that the amount payable to your account is $35.00 or greater. If the amount payble to your account is less than $35.00, we will hold payment until the following quarter, until such time as the minimum payable balance of $35.00 has been reached. We will deduct any taxes required to be withheld under applicable law. The commission structure is as follows:

  • 15% Commission on all Qualifying sales, where Affiliate requests payment in cash.
  • For transactions not conducted in US currency, commission will be calculated based on the official exchange rate at the close of each quarter.

7. Term of the Agreement

The term of this Agreement will begin on the date that your application as an Affiliate is accepted by Amadeus Press, and will end when terminated by either party. Either you or Amadeus Press may terminate this Agreement at any time, with or without cause, by giving the other party written or e-mail notice of termination. You may only receive commission on sales occurring during the term of this Agreement, and commissions will remain payable only if the related orders are not cancelled or returned. We may withhold final payment for a reasonable time to ensure that the correct amount is paid.

8. Relationship of Parties
You and Amadeus Press are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

9. Confidentiality
Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties hereto agrees that all information, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, passwords, and pricing and sales information, concerning Amadeus Press or the Affiliate, respectively, shall remain strictly confidential and shall not be utilized, directly or indirectly, by such party for its own business purposes or for any other purpose except as necessary to exercise rights and perform obligations under this Agreement.

10. Modification
Amadeus Press reserves the right to modify any of the terms and conditions contained in this Agreement at any time and in our sole discretion. Modifications to this agreement will be posted on this Web site. Affiliates will not receive notice other than the posting of the modified Agreement on this Web site. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A NEW AGREEMENT ON THIS WEB SITE WILL CONSTITUTE A BINDING ACCEPTANCE OF THE CHANGE.

11. Licenses and Use of the Amadeus Press Logos and Trademarks
Amadeus Press grants the Affiliate a non-exclusive, non-transferable, revocable right to (i) access the timberpress.com Web site through the Affiliate links solely in accordance with the terms of this Agreement, and (ii) solely in connection with such links to use the Amadeus Press logos, trade names, trademarks, and similar identifying material relating to Amadeus Press (collectively, the "Licensed Materials") for the sole purpose of providing your site visitors with access to the Amadeus Press online book catalog through Affiliate links. You may not alter the licensed materials in any way.

12. Warranty Disclaimer
Amadeus Press makes no representations or warranties of any kind with respect to the Amadeus Press Affiliate Program or any products sold through the Program, including, without limitation, warranties of merchantability and fitness for a particular purpose. In addition, Timber Press Inc. does not represent or warrant that the information accessible via its Web site will be uninterrupted or error-free, or that any site with which it is linked is accurate, complete or current.

13. Limitation of Liability
Amadeus Press will not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue, profits, or data, arising under or with respect to this Agreement or the Amadeus Press Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Amadeus Press Affiliate Program shall in no event exceed the total commissions paid or payable to the Affiliate under this Agreement.

14. Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT Amadeus Press MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE AMADEUS PRESS AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

15. Miscellaneous
This Agreement will be governed by the laws of the United States and the state of Oregon, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Portland, Oregon, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
